HUBBA REFERRAL PROGRAM TERMS & CONDITIONS

The Hubba Referral Program allows participating Sellers on Hubba to earn a referral fee by referring Qualified Buyers to make a Qualified Purchase (as such terms are defined below) on Hubba (“the Program”).

To participate in the Program, Sellers must be order-ready brands (being a brand that has completed all items in the order check list upon signing up for Hubba, has been successfully verified by Stripe, and is based in the US) and must agree to the terms below.  For greater certainty, Sellers remain bound by Hubba’s Terms & Conditions of Service, Supplemental Terms & Conditions of Service, Payments Policy, and Privacy Policy but in the event of any conflict between those terms and these Referral Program Terms & Conditions, these Referral Program Terms & Conditions will govern.

 

How to Earn a Referral Fee

Sellers qualify to receive a US$50.00 referral fee (“Referral Fee”) for each Qualified Buyer that successfully makes a Qualified Purchase on Hubba (see further: Payment of Referral Fees below). For every Referral Fee you earn, we also give your referred Qualified Buyer a US$50.00 credit on their first order with you, on us! Qualified Buyer credits are automatically applied to the Buyer’s order at checkout.

 

Qualified Buyers and Purchases

A Qualified Buyer is defined as a first-time buyer on Hubba whose business, whether operated as brick-and-mortar or online, involves carrying inventory and selling the merchandise purchased on Hubba to end-consumers. This excludes dropshippers and 3rd party market re-sellers (e.g. Amazon, Walmart). Qualified Buyers must be based in the US and cannot be affiliated with the Seller that referred them (e.g. a Qualified Buyer will not include any Buyer that is the retail arm of the Seller, or both the Buyer and Seller are ultimately owned by the same company). Hubba reserves the right to determine whether a referred Buyer is considered a Qualified Buyer.

A Qualified Purchase is defined as a transaction on Hubba of at least $51.00 (pre-tax and shipping) with the Seller that referred them using that Seller’s unique sign-up link. In instances where a Buyer has multiple sign-up links from various Sellers in the Program, the Referral Fee will be credited to the Seller whose link was used by the Buyer to sign-up to Hubba. Sellers are limited to one Referral Fee for each Qualified Buyer that makes any Qualified Purchase; in other words, additional/repeat purchases made by a single Qualified Buyer are not counted as additional Qualified Purchases.

 

Commissions and Transaction Fees

Sellers will not pay Hubba’s commission on orders from Buyers that signed-up using their custom link. However, Sellers will pay the standard transaction processing fee of 2.9% + $0.30 on the total order value.

 

Taxes

Sellers are responsible for any and all tax liability resulting from the Program, including any tax liability in relation to the Referral Fees.

 

Sharing Referral Codes

We encourage Sellers to share their referral link with as many existing and prospective wholesale Buyers in their network as possible. To do that, Sellers can promote their link in many places, such as, but not limited to, their website, existing customer email list, wholesale tradeshows, and many more! In fact, many Sellers have their sales reps use their link when signing-up new wholesale buyers on the phone or in person.

However, referral codes should not be published or distributed on commercial websites (e.g. coupon websites, Reddit, or Wikipedia) or on blogs. Sellers are prohibited from “spamming” anyone with referral invitations. This includes mass emailing, texting or messaging people you do not know or using automated systems or bots through any channel to distribute your referral link. Members are prohibited from paying to advertise their referral links. Any distribution of your referral link that could constitute unsolicited commercial email or "spam" under any applicable law or regulation will be grounds for immediate termination of your account and exclusion from the Program.

 

Payment of Referral Fees

10 days after a month’s end, Hubba will communicate Referral Fees accrued by each Seller in the previous month and process the proceeds directly into a Seller’s bank account or issue a cheque.

 

Severability

If any provision in these terms are held to be invalid, void, or unenforceable, such provision (or the part of it that is making it invalid, void or unenforceable) will be struck and not affect the validity of and enforceability of the remaining provisions.

 

Termination and Changes

Hubba may suspend or terminate the Program or a Seller’s ability to participate in it at any time for any reason.

We reserve the right to suspend accounts or void Referral Fees if we notice any activity that we believe is abusive, fraudulent, or in violation of Hubba’s Terms & Conditions of Service, Supplemental Terms & Conditions of Service, Payments Policy, or any law, statute or governmental regulation. We reserve the right to review and investigate all referral activities and to suspend accounts or modify referrals in our sole discretion as deemed fair and appropriate.

 

Updates to the Terms

Hubba can update these terms at any time without prior notice. If we modify these terms, including changes to the Referral Fee, and the definition of Qualified Buyer and Qualified Purchase, we will post the modification on the Hubba.com website, applications, or services, which are effective upon posting. Continued participation in the Program after any modification shall constitute consent to such modification.
